Vibes & Threads, Inc. Thank you for choosing Vibes & Threads! Before you start using our platform, please take a moment to carefully review these Terms of Service (“Terms”). This agreement outlines the rules, rights, and responsibilities that govern the relationship between you (the “User”) and Vibes & Threads regarding the use of our website, applications, digital tools, products, and related services (collectively referred to as the “Service”). By accessing or using our Service, you acknowledge that these Terms form a legally binding contract between you and Vibes & Threads. Our goal is to present these terms in a way that is clear and easy to understand. To support this, we may also include short explanatory notes alongside certain sections. These notes are provided only for convenience—they do not replace or alter the full legal language of the Terms.  

A. Definitions

Summary: Throughout these Terms of Service, we’ll use certain key terms. This section helps clarify what those terms mean so you can better understand your rights and responsibilities while using our platform. Unless otherwise specified, terms not defined in this section will carry the meaning given elsewhere in these Terms of Service.

• “Agreement” refers to this set of Terms of Service along with all related policies, guidelines, and notices published by Vibes & Threads. This includes, but is not limited to, our Privacy Policy, Intellectual Property Policy, and other procedures that we may update or introduce from time to time, such as those covering orders, payments, shipping, or returns.
• “Content” means any materials that appear on or are made available through our website and services. This includes (without limitation) text, images, videos, graphics, software, applications, digital designs, data, and other forms of media or information, whether created by Vibes & Threads, our partners, or our users.
• “Consumer Goods” refers to products offered on our platform that are generally purchased, used, and replenished by customers on a recurring basis. These may include—but are not limited to—clothing, accessories, lifestyle items, home décor, and other everyday essentials.
• “Customers” are the individuals or businesses who purchase your products through any of the platforms or channels connected to the Vibes & Threads service.
• “Orders” represent the products that have been purchased by either you or your customers once a transaction is completed on the platform.
• “Completed Orders” refer to those orders that have been successfully processed, packaged, and shipped to the designated recipient.
• “Products” include all goods made available through Vibes & Threads, whether directly or via our trusted third-party partners. These may include, but are not limited to, apparel, accessories, footwear, home décor, stationery, lifestyle items, and other everyday consumer goods.
• “Providers” are the third-party companies, manufacturers, or service partners that collaborate with Vibes & Threads to produce, customize, or fulfill products on your behalf.
• “Sales Channels” or “Stores” refer to third-party platforms where you may choose to list and sell your products using Vibes & Threads services. Examples include, but are not limited to, Shopify, WooCommerce, Etsy, and eBay.
• “Us,” “We,” or “Vibes & Threads” refers to Vibes & Threads, Inc., along with its affiliates, subsidiaries, directors, contractors, licensors, employees, and agents. Depending on factors such as your location or the location of the provider fulfilling the order, Vibes & Threads may deliver services through different legal entities within its network.
• “User,” “You,” or “Your” refers to the individual, company, or organization that accesses or uses the Website or Services. This includes anyone who creates an account, manages an account, or otherwise interacts with the platform in connection with its intended functions.
• “User Products” are the goods or items designed, customized, or created by Users using the Vibes & Threads platform. This may also include digital previews or mockups that represent the final version of those products.
• “User-Generated Content” means any content, whether written, visual, or otherwise, that is submitted, uploaded, or published on the platform by Users.
• “Website” refers to the official Vibes & Threads website located at vibesandthreads.com, as well as all content, tools, and services provided under this domain. It also includes affiliated subdomains (such as app.vibesandthreads.com) and any future integrations or plugins made available through platforms like Shopify, WooCommerce, Etsy, and similar third-party marketplaces. In some cases, additional or separate terms may apply to those services. Where conflicts arise, the applicable additional terms will take priority.
• “Your Content” refers to any material that you create, own, or upload to the platform. This content must not, under any circumstances, involve physical ingredients or elements that are directly added to Vibes & Threads products.
• “Branding Element” refers to any custom design, logo, or printed feature that can be added to an order—such as personalized cards, packaging, or other branded materials.

 

• “Illicit Activity” means any deliberate action or failure to act that involves deception, concealment of important facts, or misrepresentation, carried out with the intent to gain an unfair benefit, cause harm to another party, or to illegally secure money, property, services, or other advantages, in violation of applicable laws and regulations. Such activity may include, but is not limited to: (a) cheating or defrauding others to obtain money or services by using manipulation, false promises, or misrepresentation; (b) forgery, including creating, altering, or using falsified documents, signatures, or stolen/forged payment methods with intent to deceive; (c) providing false information or omitting material facts knowingly to mislead another party into relying on such information to their loss; (d) engaging in, promoting, or supporting money laundering, proliferation or terrorism financing, or attempting to bypass sanctions imposed under national or international law; (e) any other practices or actions that are unlawful under relevant laws and regulations.
• “Vibes & Threads Branding” refers to the service provided by Vibes & Threads that allows You to include a personalized Branding Element with the products delivered to Your customers.

B. General

1. By accessing and using our Services and Content, You agree to the following:

3. Our Intellectual Property Guidelines
4. Any additional terms, rules, or policies that We may reference or publish from time to time.

2. Unless otherwise modified by additional policies, rules, or agreements, this Agreement represents the complete understanding between Vibes & Threads and You regarding the use and access of our Services. It overrides and replaces all previous oral or written agreements, communications, or understandings made between Vibes & Threads and You on this subject.
3. If any section of these Terms of Service is determined to be invalid or unenforceable, that specific part will be removed without affecting the validity and enforceability of the remaining terms.
